Lynne has over 20 years’ professional experience as a paralegal concentrated in the fields of corporate governance and intellectual property. She began her career in well-known intellectual property law firms, branching out to in-house legal departments working under the direct supervision of General Counsel and other C-level management members. She possesses diverse experience in governance activities for privately held entities (domestic and international, for-profit and non-profit), and a passion for supporting the non-profit sector in both a professional and volunteer capacity.

Lynne provides a depth of services to our nonprofit and tax-exempt clients, including the following:

  • Governance
    • Facilitating virtual and in person Board and committee meetings
    • Recording and cataloguing minutes of and action items from Board and committee meetings
    • Assembling and distributing Board/committee books
    • Monitoring Board and committee composition and terms
    • Monitoring basic compliance with Bylaws and policies
    • Updating and maintaining minutes books
    • Preparing unanimous consents for administrative changes such as director and officer replacements, signature authority, etc.
    • Basic organizational document and policy amendments
  • Compliance
    • Monitoring state and IRS status and reporting
    • Assisting with state reporting
    • Assisting with reporting due to organizational updates (i.e. address changes, new Board members)
  • Grant Making
    • Assembling and composing grant proposal books
    • Researching and vetting proposed grantees
    • Assisting with resolutions and/or consents related to approval
